You didn't seriously expect Microsoft to give up without a fight, did you? Reports indicate that Microsoft is organizing a proxy fight in its takeover bid for Yahoo!.

In case you don't know, as defined by InvestorWords, a proxy fight is:

A strategy that may accompany a hostile takeover. A proxy fight occurs when the acquiring company attempts to convince shareholders to use their proxy votes to install new management that is open to the takeover. The technique allows the acquired to avoid paying a premium for the target.

microsofts going to get yahoo one way or another... if microsoft is dead set on something.. a hostile take over is all it'll take.
