SanDisk and Toshiba plan to spend $3 billion on a new factory to make memory chips for digital music players and other devices, SanDisk said, raising concerns about a possible oversupply and slimmer profit margins.

The new venture will help the companies compete with other memory chipmakers such as market leader Samsung Electronics of South Korea and Micron Technology, which has a memory venture with Intel.
