Asus A8N-SLi SE nForce4 SLi problems

hi guys, my Asus A8N-SLi SE nForce4 SLi (Socket 939) and AMD Opteron UP 144 San Diego 1.8GHz arrived yesterday.Set everything up , pressed the power button and then i start hearing beeping nosieys(bad signs) and not even a bios boot up.
checked everyhthing and even stripped it down to motherboard, processor and ram, but still the same : (
I know the processor and ram is working because i tryed it on my old board.
so i phone the helpline and they said it could be the power the supply or the ram or motherboard.The power supply that im useing is a 450watts which came with the case and my ram are ome pc333s from my old boardl
power supply? does the" Asus A8N-SLi SE " really need that much power?
ram? is this motherboard really that picky what ram i use?
Anyway for my peace of mind ive ordered Corsair 2GB DDR XMS4000PT TwinX (2x1GB) and Akasa Ultra Quiet 460W Paxpower Active PFC for around £200 and if i find out that is my motherboard then im going to kick some butt!!!!

if anyone else had this problem please tell me

System Specs

My friend's PC kept crashing and dying when he upgraded his system then he got a new PSU and was happy till he fried his CPU. So it might be likely....but I don't know how a new mobo would cause a PSU overload...as long as the rest of the components are the same
