D865Perl Powers on for a few seconds...

Just bought a Intel Pentium 4 2.60C processor with HT and a Intel D865Perl Mobo.

I put the rig together and goto turn it on, and it powers on for like 2 seconds and turns off. I took everything out of the system and put the board on my desk and turned it on that way(with only the memory as the only item onboard along with processor) and it does the same thing. I take the memory out, and the fan on the heatsink starts to spin slowly and gives 3 beeps(obviously memory). But i tried every memory bank on the board and it always powers down with memory in it.

I tried my 2x 512 Corsair XMS memory 333

and i even bought PNY 2.5v DDR 400 512meg stick today too all for nothing, still does it.

400watt Antec Powersupply was running great with my other systems so i doubt its that. Think the board is fudged? And would i be able to exchange it for another model board at compusa(where i bought it).
