My question is, would I get a bottleneck if I upgraded to this VGA

I ask cause I know my CPU is abit old but it runs at 2.1 ghz but only 333 on the fsb, so im a little concerned if I just upgraded that my CPU might be the bottleneck.
I ran an FPS test in GRAW to see if changing the resolution from 1024/768 to 800/600 did anything to the frames.
Test @ 1024/768 :2006-05-18 17:33:14 - GRAW 1024/768
Frames: 4021 - Time: 162703ms - Avg: 24.713 - Min: 11 - Max: 39
Test @ 800/600 :2006-05-18 17:26:41 - GRAW 800/600
Frames: 4291 - Time: 154093ms - Avg: 27.846 - Min: 12 - Max: 43
Theres a slight increase in frames lol, but not big enough so that im sure that my CPU wont be a bottleneck.
What is your verdict ?
Should I upgrade MOBO, CPU and VGA or could I just upgrade VGA!!
