A problem with Direct3D or Open GL.
Have you tried running DriverCleaner and reinstalling the newest drivers?

Check the voltages on the ps, that the card is seated good, and the fan is spinning on the card. Take off any overclocks, and do a full uninstall and reinstall of the chipset drivers and card drivers.

Well I'm sure the fan is working good because the temp is 39 C which is [retty good.
I'm sure its seated well too because most cards won't POST unless they are.
The PSU voltages, however, is worth checking into.

Everyone thanks for your reply's. i did check the voltages, the voltages are ok... i did a fresh install of windows / newer drivers / other chipset drivers .. checked fan and more, but they do not help
i am starting to think about a defective card??
Edit :
The card is not and has never been overclocked. it just fails in heavy duty games, i also tried to lower my settings in the game but also this does not help...

Then you might try flashing your motherboard BIOS, maybe there is an issue with the AGP settings...speaking of which, are fastwrites enabled?

Stupid question time. Have you tried connecting it up to a regular monitor? I'm asking that because with HDTV's it can be kinda quirky some times getting them setup.

So your monitor is being driven out of range then.
Go under your displays inside the controls for your card via the ATI interface, and then set the refresh for 60Hz.

no when it goes out of range it says 'Sync out of range' when it has no signal it says 'Powersaving enabled, shutting down in few seconds'
but the memory in my computer is faulty so i think that might be the problem ??

Yes it's being driven harder than what it can actually show. I'm honestly not sure if your memory would cause that. It's possible I guess since it can cause all sorts of issues, plus it's hard to game with defective memory.
